Step 1: To use the Kompass Search Box services, you must agree to the following terms & conditions:

Search Box Licence Agreement This Agreement is entered into between you and Kompass International Neuenschwander S.A. of Saint Laurent 73800 Cruet France ("Kompass") regarding the placing of a Kompass search box on your website. The Kompass searchbox will enable users of your website to search directly on the Internet site run by Kompass displaying content from the international Kompass database. The search box will send information to the Kompass Internet site and will automatically take the user there and perform the search that has been requested and enable the user to download information. 1. Kompass grants you a non-exclusive licence ("the Licence") on and subject to these Conditions to include the HTML Code on your Website and to display the Search Box Facility on your Website. The Licence is personal to you and you agree not to assign, dispose of or sub-license your rights. 2. You agree to comply with all Kompass' reasonable instructions for the use of the Search Box Facility and you agree to promptly replace the HTML Code with any new version that Kompass makes available from time to time. You agree to use all reasonable endeavours to ensure that hyperlinks from the Website to Kompass.com are at all times correct and fully functional. 3. You may only copy the HTML Code for inclusion in the code of your Website. You may only use the HTML Code to display the Search Box Facility on the Website and you agree not to make it available to anyone else or use it on behalf of any third party. Any copies you make of the HTML Code and any other websites on which you display the Search Box Facility will also be subject to these Conditions. You agree not to modify the HTML Code in any way. 4. You are also granted a personal, non-exclusive and non-transferable right to use the Kompass logo and the name Kompass on the Website in the format specified by Kompass from time to time only in conjunction with the Search Box Facility. You agree to display the Kompass logo and name as part of the Search Box Facility while you display the Search Box Facility on your Website You also agree not to use them in any other way without the consent of Kompass. 5. You agree not to allow or cause the data displayed on Kompass.com to be corrupted or altered in any way due to the inclusion of the Search Box Facility on your Website. You also agree not to cause the operation of Kompass.com or any usage statistics obtainable in relation thereto to be affected and not to frame any results from a search on Kompass.com. 6. You acknowledge that all copyright or other intellectual property rights in the HTML Code, the Search Box Facility, the "Kompass" name and the Kompass logo (including all copies of the same) are and will remain the property of Kompass. 7. You agree that all use of Kompass.com and all data obtained from it, whether through the Search Box or otherwise and whether by you or by users of the Website, is subject to the terms and conditions of use displayed on Kompass.com from time to time ("the Kompass.com Terms and Conditions"). 8. You acknowledge that the HTML Code and the Search Box Facility have not been prepared to meet your individual requirements and are provided "as is". It is your responsibility to make sure they meet your requirements and can be used as part of the Website. All warranties, conditions or other terms implied by statute or common law are excluded to the fullest extent permitted by law. 9. In particular, but without limitation: (a)Kompass is not responsible for any error caused to the Website or the your other computer systems by use of the Search Box Facility or the HTML Code and such use is at your risk; (b)There's no guarantee that the HTML Code and/or Kompass.com will work correctly or without interruption and, except as set out above, Kompass excludes all liability (to the maximum extent permitted by law) in respect of the HTML Code and/or Kompass.com. Kompass reserves the right to suspend any part of the Kompass.com website for maintenance or otherwise at any time without notice. If you inform Kompass of any error in the HTML Code then Kompass may, at its discretion, seek to remedy the defect or error in question; and (c)There's no guarantee that the HTML Code and/or Kompass.com will work correctly or without interruption and, except as set out above, Kompass excludes all liability (to the maximum extent permitted by law) in respect of the HTML Code and/or Kompass.com. Kompass reserves the right to suspend any part of the Kompass.com website for maintenance or otherwise at any time without notice. If you inform Kompass of any error in the HTML Code then Kompass may, at its discretion, seek to remedy the defect or error in question; 10.Kompass will not be liable to you for any consequential or indirect loss or damage or for any loss of profit, loss of business, loss of reputation or loss of revenue. Except as contemplated by sections 7 and 9(c) Kompass entire liability to you arising from or in connection with these Conditions will not exceed the amount payable by you (if any) for the supply of the HTML Code or Search Box Facility or their use by you or users of your Website. 11.This Licence will begin when you copy the HTML Code from this website and will continue until either party terminates the Licence at any time. Kompass may withdraw or suspend the Search Box Facility at any time. 12.On termination, you will stop using the HTML Code, the Search Box Facility, the Kompass name and the Kompass logo, and all copies thereof and return the same to Kompass or destroy them and certify in writing that they have been destroyed. 13.This Licence shall be governed by the Laws of England and both parties hereby submit to the exclusive jurisdiction of the courts of England. 14.In the terms and conditions of licence set out in this document ("these Conditions"): (a)"Kompass.com" means the website run by Kompass from time to time displaying the international Kompass database, currently located at www.kompass.com. (b)"the Search Box Facility" means the facility created by use of the HTML Code by which users of the website can search directly on Kompass.com (c)"the HTML Code" means the html code which enables the creation and use of the Search Box Facility together with any ancillary instructions or other documentation supplied by Kompass; (d)"the Website" means that any website on which you place the Search Box Facility; and (e)"you" and "your" means the person, business or company which copies the HTML Code from this website.
